License Agreement

Altius EDM Software License Agreement

This Software License Agreement ("Agreement") is entered into between you (the "Licensee") and Altius EDM Software Solutions ("Licensor"), the owner of the Altius EDM platform and related services (the "Software").

1. Grant of License

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants to Licensee a non-exclusive, non-transferable, revocable license to access and use the Software for the duration of your subscription period.

2. Subscription Plans

The Software is offered under various subscription plans (Essential, Customized, and Enterprise). Your rights to use certain features, number of tenants, and number of employees per tenant are determined by your chosen subscription plan.

3. Ownership and Intellectual Property

The Software, including all intellectual property rights therein, is and shall remain the property of the Licensor. The Licensee shall have no right, title, or interest in the Software except as expressly set forth in this Agreement.

All trademarks, service marks, logos, and trade names used by the Licensor are the property of the Licensor or their respective owners.

4. Restrictions

Licensee shall not:

• Copy, modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Rent, lease, loan, sell, sublicense, distribute, or otherwise transfer rights to the Software
• Remove, alter, or obscure any proprietary notices on the Software
• Use the Software in violation of applicable laws or regulations
• Use the Software to store or transmit malicious code or infringing, libelous, or otherwise unlawful material

5. Data Rights

Licensee retains all rights to data entered, uploaded, or created within the Software. Licensor may access Licensee's data solely for the purpose of providing and improving the Software and related services.

6. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any term of this Agreement. Upon termination, Licensee shall cease all use of the Software and destroy all copies of the Software in its possession.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, or negotiations.

By using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
